01Who we are

StrataTrade is operated by Saburai Investments Pty Ltd (ABN 49 133 023 828), an Australian company. References to "we", "us", "our", or "StrataTrade" in these Terms mean Saburai Investments Pty Ltd. References to "you" or "your" mean the person or business using the platform.

02What StrataTrade is

StrataTrade is a members-only directory of Australian trade businesses. The directory connects verified trade businesses with the strata managers, body corporate managers, and building managers who source trade services for the buildings they manage.

StrataTrade is a directory and information service. It is not:

• An auction or bidding platform — there are no bidding wars
• A payment processor — payment and invoicing occur directly between members
• A licensing or insurance authority
• A guarantor of the work performed by trades found through the directory

Decisions about which trade to engage, scope of work, contract terms, and payment terms are made directly between the member sourcing the trade and the trade business. StrataTrade does not select, recommend, or guarantee any particular trade for any particular job.

03Account types & eligibility

You may register for one of the following account types:

• Strata or building manager: a professional manager of one or more schemes, body corporates, or buildings — including registered strata management firms, body corporate managers, building managers, and facility managers
• Trade business: a trade or service business operating in Australia with appropriate licences and registrations for the work it performs
• Other: a person or business with a legitimate reason to access the directory, subject to verification

To use StrataTrade you must be at least 18 years old and have the legal authority to bind the business or organisation you represent. By registering, you confirm that the information you provide is accurate and that you have authority to register the business or organisation you nominate.

Registration is subject to verification. We reserve the right to decline an application or revoke access where verification cannot be completed or where misuse is suspected.

One email address corresponds to one account. If you act in multiple capacities, you may need separate accounts for each role.

04Account responsibilities

You are responsible for:

• Keeping your password secure and not sharing it with others
• Promptly notifying us if you suspect unauthorised access to your account
• Ensuring information you provide remains accurate and up to date — including business details, licence details, contact information, and service area
• The activity that occurs under your account, including content posted and information you provide about yourself or your business

If you become aware that information on your account is incorrect, you must update it as soon as practicable. This is particularly important for trade businesses, where the currency of licence information directly affects how your listing appears in the directory.

05Trade verification

StrataTrade verifies trade business credentials before they are visible in the directory. Licensed trades are verified against their state regulator; service businesses are ABN-verified.

Verification confirms that, at the time of checking, the licence and ABN information provided matches a current entry on the relevant register. Verification does not certify the quality of work, the financial standing of the business, or any matter outside the scope of the relevant register.

Trades remain solely responsible for maintaining current licences, insurance, and compliance with all applicable laws. The member engaging a trade is responsible for confirming, before work begins, that the trade holds the credentials and insurance required for the specific job.

06Fees

At this stage of the platform, a standard listing currently costs nothing for trade businesses. For strata firms, pricing is shown when you register.

In future, optional premium features may be made available as paid add-ons (for example, priority placement, expanded media, or analytics features for trade businesses). Pricing for paid features is shown in-account on registration, and any fee-based features will be clearly identified before you commit to them. Fees may change on reasonable notice.

Industry partner engagements (campaigns, sponsored placements, audience insights) are commercial arrangements separately scoped with each partner. Member accounts are not charged for these.

07Acceptable use

You agree not to:

• Use the platform for any unlawful purpose
• Provide false, misleading, or fraudulent information at registration or in your profile
• Impersonate any person or business, or misrepresent your affiliation with any organisation
• Attempt to circumvent platform security, rate limits, or access controls
• Use the platform to harass, threaten, or defame other members or third parties
• Use the platform in any way that breaches Australian law, including the Spam Act 2003 (Cth), the Australian Consumer Law, or any state licensing or workplace health and safety legislation
• Reverse engineer, copy, or create derivative works of the platform's software

Breach of acceptable use may result in suspension or termination of your account, and we may report serious breaches to the relevant authorities.

08Anti-scraping & data extraction

The StrataTrade directory, including all member listings, contact details, business descriptions, and related metadata, is provided exclusively for the use of registered members for legitimate, member-to-member purposes.

You agree that you will not, and will not attempt to, whether directly or through any third party:

• Use automated software, scripts, bots, scrapers, crawlers, or any form of automated data extraction to access, copy, harvest, or download any part of the directory
• Bulk copy, download, export, redistribute, sell, license, sublicense, or otherwise commercialise the directory or any substantial part of it
• Aggregate directory content (whether or not in combination with content from other sources) for the purpose of building a competing directory, data product, or marketing list
• Use the directory to compile or supplement any mailing list, marketing list, contact database, or similar resource for use outside the platform
• Bypass, attempt to bypass, or assist others to bypass any technical measure designed to prevent automated access, rate limiting, or unauthorised use of the directory
• Share your member credentials with any third party or use a credential to provide directory access to a person who has not registered for their own account
• Use the directory in any way that breaches the Australian Privacy Act 1988, the Spam Act 2003, the Do Not Call Register Act 2006, the Australian Consumer Law, or any other applicable law

We may use technical and operational measures to detect and prevent unauthorised access, scraping, and bulk extraction, including rate limiting, behavioural analysis, IP and device fingerprinting, account monitoring, and access logging. Suspected breach of this section may result in immediate suspension or termination of your account without notice, blocking of associated IP addresses or devices, and forfeiture of any directory access privileges.

If we determine that you have materially breached this section, we may seek injunctive relief, recover damages, and refer the matter to relevant regulators or law-enforcement bodies. You agree that breach of this section may cause us serious commercial harm for which monetary damages alone may not be an adequate remedy.

09Intellectual property

The StrataTrade platform — including the website, software, design, branding, directory structure, and underlying systems — is owned by Saburai Investments Pty Ltd or licensed to us. Nothing in these Terms transfers ownership of any of those rights to you.

The directory itself, including the compilation, selection, structure, and presentation of member information, constitutes a compilation in which Saburai Investments Pty Ltd holds intellectual property rights. Use of the directory beyond the scope permitted by these Terms is not authorised.

You retain ownership of the content you post to the platform (your profile information, photos, descriptions, and supporting materials). By posting content, you grant Saburai Investments Pty Ltd a non-exclusive, royalty-free licence to host, store, display, and process that content for the purpose of operating the directory and making it available to other authorised members.

You confirm that you have the rights to post any content you upload — including photos, descriptions, and any supporting materials — and that the content does not infringe the rights of any third party.

10Liability & warranties

Subject to the Australian Consumer Law and any other rights you have at law that cannot be lawfully excluded:

• StrataTrade is provided on an "as is" basis. We do not warrant that the platform will be uninterrupted, error-free, or that it will meet your specific business requirements.
• We are not responsible for the conduct, performance, work quality, financial standing, or contractual conduct of any trade, member, or other user found through the directory.
• We are not a party to any contract formed between a member and a trade through the directory. Disputes between members about work performed, payment, or quality are matters for those parties to resolve directly.
• To the maximum extent permitted by law, our total liability to you arising out of or in connection with your use of StrataTrade — whether in contract, tort, or otherwise — is limited to either resupplying the relevant service or refunding any fees you paid for that service in the preceding 12 months, whichever we elect.
• Neither party is liable for indirect or consequential losses, including loss of profits, loss of business opportunity, or loss of goodwill, except where those losses cannot lawfully be excluded.

11Termination

You may close your account at any time by contacting us at hello@stratatrade.com.au or using any account-closure controls provided in your account settings.

We may suspend or terminate your account if:

• You materially breach these Terms and (where the breach is capable of remedy) you do not remedy the breach within a reasonable period after we ask you to
• You provide false or misleading information in registration or use of the platform
• You attempt to scrape, bulk extract, or otherwise misuse the directory
• Your continued use poses a risk to other members, to the platform, or to us
• We are required to do so by law

For serious breaches — including suspected scraping or unauthorised bulk extraction — we may terminate your account immediately and without prior notice.

On termination, your access to the platform ends and your trade listing (if applicable) is removed from the directory. Provisions of these Terms that by their nature should survive termination — including liability, intellectual property, anti-scraping, and dispute resolution — do so.

12Disputes & governing law

If you have a concern about your use of StrataTrade, we'd like the chance to resolve it before any formal dispute. Please contact us at hello@stratatrade.com.au setting out the nature of your concern and what you'd like done.

If we cannot resolve a dispute through good-faith discussion within 30 days, either party may pursue the matter through the courts.

These Terms are governed by the laws of Queensland, Australia. You and Saburai Investments Pty Ltd submit to the non-exclusive jurisdiction of the courts of Queensland and the courts entitled to hear appeals from those courts.

13Changes to these terms

We may update these Terms from time to time, including to reflect changes in the platform, our services, our fee structures, or applicable law. The "Last updated" date at the top of this page reflects the most recent change.

For material changes — including changes to fees applicable to existing accounts, or changes to liability provisions — we will give you reasonable notice (typically at least 30 days) by email or through an in-platform notification. Your continued use of StrataTrade after the changes take effect means you accept the updated Terms. If you do not accept material changes, you may close your account before they take effect.
